As a Seller Condition Assurance member, you will be responsible for higher levels of service and commitment during the transaction process. Please read the user agreement below. USER ASSURANCE AGREEMENT This User Assurance Agreement ("Agreement") between you and eBay Inc. ("eBay" or "We") is a prerequisite to acceptance into the Seller Condition Assurance program ("Seller Condition Assurance Program" or "Program"). 1. SELLER CONDITION ASSURANCE PROGRAM REQUIREMENTS. a. You must be a registered user on eBay that has received an invitation from an eBay Motors account manager to participate in the Seller Condition Assurance Program. b. You must be a registered user on eBay in good standing, including, but not limited to (i) having agreed to the terms of the eBay User Agreement and Privacy Policy; (ii) having good financial standing; and (iii) at a minimum, having a twenty (20) feedback, ninety-five percent (95%) of which is positive. c. You must maintain a valid dealer license number and must be verified as a Licensed Vehicle Dealer. For the purposes of this Agreement, "Licensed Vehicle Dealer" means a confirmed eBay seller who has been verified by eBay, by one of eBay’s subsidiaries or via the verification process at http://ebay.carad.com/forms/CGBSverification/index.cfm. d. You agree that eBay can share with or obtain your information, including, without limitation, information concerning your dealership, contact information and information about your Seller Condition Assurance memberships, with any third party service providers that are providing services in connection with this Agreement for the sole purpose of enabling such third party service providers to fulfill obligations under this Agreement. e. You must maintain your commitments under the Seller Condition Assurance Program, as described in the sections below, throughout your membership in this Program. f. You must pay any fees related to this Program, as such fees may arise from time to time. eBay may, at any time at its sole discretion, specify fees for participating in this program. eBay may provide, but is not required to, a courtesy notice with respect to any change in fees or charges. g. You hereby acknowledge that eBay, in its sole discretion, may terminate your membership as a Seller Condition Assurance Program member at any time, with or without notice to you. You hereby further acknowledge that eBay may change the terms and conditions of this Agreement and/or Program without notice to or approval by you at any time. You hereby acknowledge that eBay, in its sole discretion, may, among all other available remedies, suspend your eBay user account if eBay deems that you are in violation of this Agreement or any applicable laws or eBay policies. h. You understand that the following vehicle makes are excluded from the Program: (i) Alfa Romeo, Aston Martin, Avanti, Bentley, Bugatti, Ferrari, Hummer (AM General), Lamborghini, Lotus, Maserati, Opel, Rolls-Royce, Shelby; (ii) any vehicles with a model year of eight (8) years or older and is listed in the Passenger Vehicles category; (iii) any vehicles that are listed with the Other Makes or Replica/Kit Makes categories; (iv) any vehicles that are listed with "Salvage" or "Other" for Type of Vehicle Title; or (v) any vehicles with odometer readings of over one hundred twenty-five thousand (125,000) miles. i. In the event that you offer a "Money-Back Seller Condition Assurance" option for a listing, then you must offer, at a minimum, a money back assurance to the buyer that bought the vehicle under such listing under this Program and refund the purchase amount in its entirety to the buyer within five (5) days of buyer’s request for such refund if the buyer meets the following criteria: (1) buyer has contacted you within seventy-two (72) hours upon receipt of the vehicle and (2) buyer has not driven the vehicle more than five hundred (500) miles. You must pay for any applicable shipping costs to return the vehicle. 2. YOUR DISCLOSURE COMMITMENTS. In addition to your responsibilities under paragraph 4 of the User Agreement with eBay, you further agree that: a. You will fully and accurately describe and disclose the condition of all of the components in any passenger vehicle you list for sale on eBay, including, but not limited to, the criteria listed in Sections 2(b) and 2(c) below. b. You will at the very least describe and disclose the condition of each of the components set forth below ("Components") of the passenger vehicle in your eBay listing. you must describe each component explicitly as Excellent, Very Good, Good, Fair, or Poor. If a Component is described as anything other than Excellent, you must provide a further description of the condition of the Component. c. You also hereby warrant that any Component not described or any other component whose condition should be reasonably known to a vehicle dealer is in good working condition, unless explicitly disclosed otherwise in the eBay listing. Right rear ¼ 8. Left rear ¼ 9. Trunk lid 10. Front bumper 11. Back bumper 12. Grille 13. Glass 14. Frame 15. Roof 3. YOUR COMMITMENTS TO RESOLVE ISSUES. In addition to your responsibilities under paragraph 4 of the User Agreement with eBay, you further agree that: a. You will use your best efforts to resolve any differences between you and the buyer should the buyer believe that (i) you have misrepresented the condition of the vehicle offered for sale and the complaint alleges that the vehicle is not as described in the listing or (ii) that the listing description did not include important details about the vehicle, as specified in the Section 3 above. b. You will respond within two (2) business days to any dispute filed by a buyer using the then-current online dispute resolution services as deemed for such purpose by eBay. c. You will enter into mediation using the mediation service from one of the third party service provider that is offering such mediation service on the eBay site, if a buyer so requests. d. You further agree that eBay, the then-designated third party service provider) can provide eBay with the item number, the topic and basis of the dispute and claim filed against you, the dollar value of the dispute, the status of the dispute resolution process, and your participation in the dispute resolution process. 4. YOUR COMMITMENTS TO ABIDE BY MEDIATION DECISIONS. In addition to your responsibilities under Section 3 herein and paragraph 4 of the User Agreement with eBay, you further agree that: a. You will allow eBay or the then-designated third party service provider transfer your case including the facts, mediation record and documentation, to an insurance company that is acting as a neutral third party selected by eBay Motors ("Insurance Company") if you have been unable to reach a mutually agreeable resolution to the case and the buyer so requests. b. You will provide all documentation requested by the Insurance Company, including, but not limited to, items that may have already been provided by you. c. You will agree to and abide by the ruling made by the Insurance Company regarding the validity of the claim including any compensation you may need to pay the buyer, if that is part of the ruling. d. You will fully comply with any settlement agreement reached between you and the buyer, whether that agreement is reached through joint discussions, a mediated settlement or a ruling made by the Insurance Company. 5. OUR COMMITMENT TO YOU. As long as you remain a member in good standing and are not in breach of the terms of the User Agreement, including this User Assurance Agreement, eBay agrees, and you hereby consent, that: a. If you choose to have a seal served on one of your listings via listing software, then eBay or the then-designated third party service provider will serve either (i) a "Seller Condition Assurance" seal or (ii) if you offer the "Money-Back Seller Condition Assurance" option, a "Money-Back Seller Condition Assurance" seal on such chosen listings. The actual description and the look and feel of the icons, words or other such trademarked items describing the program are at eBay's sole discretion. b. eBay may market and promote your listings at eBay's sole discretion. 6. TERMINATON. Notwithstanding anything to the contrary contained in this Agreement, failure to comply with these terms and conditions of this Agreement will result in remedies that will include, but not be limited to, the (i) suspension or termination of your membership in the Seller Condition Assurance Program; and/or (ii) suspension of your eBay account. Notwithstanding anything to the contrary contained herein, eBay may also terminate this Agreement for convenience with you at any time without prior notice. In the event of any termination hereunder, you must fulfill any outstanding obligations to buyers that have purchased vehicles from you under the Program in accordance with the terms of this Agreement. 7. INDEMNIFICATION. Notwithstanding anything to the contrary contained in the Agreement or this Agreement, you hereby indemnify eBay and/or its third party service providers from any claims that arise from the transactions between you and your customers, this Agreement or the Seller Condition Assurance Program, including, without limitation, any money-back assurance for your listings. 8. DISCLAIMER OF OTHER WARRANTIES. EXCEPT AS EXPRESSLY STATED HEREIN, EBAY MAKES NO REPRESENTATIONS AND SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESSED, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AS TO THIS AGREEMENT OR THE VEHICLES OFFERED IN YOUR EBAY LISTING. THE SELLER CONDITION ASSURANCE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN ADDITION TO THE OTHER DISCLAIMERS INCLUDED IN THIS SECTION 8, EBAY DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SELLER CONDITION ASSURANCE PROGRAM. SQUARETRADE DOES NOT REPRESENT OR WARRANT THAT THE USER ASSURANCE PROGRAM WILL OPERATE SECURELY OR WITHOUT INTERRUPTION. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 9. LIMITATION OF LIABILITY. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THE AGREEMENT OR THIS AGREEMENT, IN NO EVENT SHALL EBAY, OR ANY THIRD PARTY SERVICE PROVIDER BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND, EVEN IF EBAY OR A THIRD PARTY SERVICE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL EBAY OR THIRD PARTY SERVICE PROVIDER BE LIABLE FOR ANY DIRECT DAMAGES ARISING FROM YOUR CLAIMS OR ANY THIRD PARTY CLAIMS UNDER THIS AGREEMENT WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY NOTWITHSTANDING THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY SET FORTH IN THE AGREEMENT. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. 10. AMENDMENTS. You hereby agree that eBay may amend this Agreement by sending you written notice by e-mail of any changes thirty (30) days prior to such changes taking effect for you. In the event that you do not agree to such changes, you can choose to no longer participate in this Program, provided that you fulfill any outstanding obligations to buyers that have purchased vehicles from you under the Program in accordance with the terms of this Agreement. 11. GENERAL. This Agreement shall be governed in all respects by the laws of the State of California as such laws are applied to agreements entered into and to be performed entirely within California between California residents. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. Sections 7 (Indemnity), 8 (Disclaimer of Warranties) and 9 (Limitation of Liability) shall survive any termination or expiration of this Agreement YOU HEREBY ACKNOWLEDGE THAT YOU HAVE NOT ENTERED INTO THIS AGREEMENT IN RELIANCE UPON ANY WARRANTY OR REPRESENTATION EXCEPT THOSE SPECIFICALLY SET FORTH HEREIN.
